Terms of Service

These Terms of Service govern the relationship between BEE PIXEL LLC (“Bee Pixel Tech”, “we”), a company formed in Wyoming, USA, and the customer purchasing paid services (“you”). They apply to new agreements; browsing the website alone does not constitute acceptance.

1. Service provider

Bee Pixel Tech is a trading name of BEE PIXEL LLC, located in 30 N Gould St, Ste R, Sheridan, WY 82801, USA. Support and contractual contact: info@beepixeltech.com. We provide custom software, ERP, corporate website and business process automation development.

2. Formation and order of precedence

A free discovery meeting or form submission does not place a paid order. A paid agreement is formed when a written quote is signed, accepted electronically or the first invoice is paid. The quote, these terms and the Cancellation and Refund Policy together form the agreement. If a quote or project agreement conflicts with these terms, the quote or project agreement prevails. Unless stated otherwise, quotes are valid for 30 days.

3. Fees and payment

Quotes and invoices are issued in United States dollars (USD). Payments are accepted through a secure Stripe payment link or by bank transfer as stated in the quote. Work begins once the initial payment is received; later milestones do not begin until the previous milestone is paid. Unless stated otherwise, invoices are due within 7 days of issue. Taxes, bank charges and currency conversion fees are borne by the customer.

4. Late payments

If a payment is overdue, we may pause work and deliveries and suspend access we provide 7 days after written notice; the pause is added to the schedule. Usage rights are not transferred for unpaid work. Reasonable collection costs are payable by the customer to the extent permitted by law.

5. Scope, revisions and changes

Services cover only the deliverables stated in writing in the quote. Unless the quote states otherwise, two revision rounds are included per milestone. Additional revisions, new features and scope changes are charged through a written change request at the hourly rate in the quote or under a new quote, and the schedule is updated accordingly.

6. Customer responsibilities

You are responsible for providing required content, information, access and approvals on time, for holding the necessary rights to materials you provide and for backing up your data. Customer-caused delays extend delivery dates by the same period and do not create delay penalties. Section 8 of the Cancellation and Refund Policy applies to prolonged unresponsiveness.

7. Delivery and acceptance

Services are delivered online through source files, access credentials, deployment or other digital handover; no physical shipping is involved. Delivery is deemed accepted if no written, specific non-conformity is reported within 7 days, or if the work is used in production.

8. Intellectual property

Rights in project-specific deliverables transfer to you once the project fee is paid in full; until then they remain with us. Our pre-existing code, libraries, templates and tools remain ours, and you receive a perpetual, non-transferable license to use them to the extent needed to use the deliverables. Third-party components remain subject to their own licenses. Unless otherwise agreed in writing, we may show the project as a reference and in our portfolio without disclosing confidential information.

9. Limited warranty

We will correct, free of charge, defects that do not conform to the agreed scope and are reported within 30 days of delivery. THIS IS OUR ONLY WARRANTY. TO THE EXTENT PERMITTED BY LAW, ALL OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE EXCLUDED. Changes made by the customer or third parties, outages or changes in third-party services and issues caused by the hosting environment are not covered. No specific business result (sales, search rankings, revenue, etc.) is guaranteed.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA OR BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES ACTUALLY PAID TO US FOR THE RELEVANT PROJECT IN THE 12 MONTHS BEFORE THE CLAIM. These limitations do not apply to wilful misconduct, gross negligence or liability that cannot be limited by law.

11. Indemnification

You will indemnify BEE PIXEL LLC against claims, losses and reasonable attorneys' fees arising from content or materials you provide that infringe third-party rights, or from unlawful use of the deliverables.

12. Confidentiality

Each party uses information learned during the project that is marked confidential or is confidential by nature only for the project and does not disclose it to third parties. Personal data is processed as described on our Privacy page.

13. Suspension and termination

Either party may terminate the agreement if the other party fails to cure a material breach within 10 days of written notice. The customer may cancel the project at any time by written notice. On termination or cancellation, payments are calculated under the Cancellation and Refund Policy. Provisions on payment, intellectual property, warranty, liability, indemnification and disputes survive termination.

14. Force majeure

We are not responsible for delays caused by events beyond our reasonable control, such as natural disasters, war, epidemics, government action or general outages of infrastructure or third-party service providers; the schedule is extended accordingly.

15. Governing law and disputes

These terms and project agreements are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws rules. Before filing a claim, the parties will try to resolve any dispute through 30 days of good-faith negotiation starting with written notice sent to info@beepixeltech.com. For disputes with business customers, the courts located in the State of Wyoming have exclusive jurisdiction. Consumers retain the non-waivable rights of their country of residence, access to competent authorities and the right to dispute card payments.

16. General

We may update these terms; updates apply to agreements formed after publication and do not retroactively change existing agreements. If any provision is held invalid, the remaining provisions remain in effect. The customer may not assign the agreement without our written consent; we may use subcontractors for parts of the work and remain responsible to you for their work.
